Standard Maintenance Agreement
Parties
- Service Provider: Your company name and address (“Provider”).
- Client: Client’s name and address (“Client”).
Services
Provider agrees to perform the following services for Client’s website:
- Advanced Security: Implement high‑class security measures, including firewall protection, brute‑force attack prevention, and weekly malware scans.
- Backups: Perform full website backups weekly and store them off‑site on secure cloud storage.
- Monthly Checkups: Conduct a monthly website health audit, applying up to 12 fixes (e.g., broken link repairs, form testing, bug fixes).
- Content/Design Changes: Provide up to 48 content or design changes annually (approximately one change per week).
- Analytics Reports: Send a detailed analytics report every week, including traffic metrics, top pages, and basic SEO insights.
Fees and Payment Terms
- Subscription Fee: CAD 56.67 per month, billed annually in advance during the first year. The plan renews at CAD 87.50 per month (CAD 1,050/year).
- Method of Payment: Client will be invoiced and must pay by credit card or another agreed‑upon method.
- Late Payments: Payments not received within fifteen (15) days of the due date may result in service suspension until payment is received.
Client Responsibilities
- Provide administrative access and necessary credentials for website, hosting, and domain settings.
- Cooperate in scheduling updates and provide feedback in a timely manner.
- Keep third‑party licenses current for any premium plugins or themes.
Support and Communication
- Provider will respond to Client inquiries within one (1) business day via email or ticketing system.
- Additional development or customization outside the defined scope may incur extra charges at Provider’s prevailing hourly rate, agreed upon in writing.
Term and Termination
- The agreement term is one (1) year from the effective date.
- Either party may terminate this agreement with thirty (30) days’ written notice. Unused services are not refundable.
- Provider reserves the right to terminate immediately for non‑payment, misuse, or violation of terms.
Confidentiality and Data Security
- Provider shall protect Client’s confidential information and take reasonable security measures during backups, maintenance, and data storage.
Limitation of Liability
Provider’s liability for any claim arising under this agreement shall not exceed the total amount paid by Client for services during the preceding twelve (12) months.
Governing Law
This agreement will be governed by and construed according to the laws of Canada.
